Terms governing Procuraz Company accounts, procurement workflows, subscriptions, payments and acceptable use.

Agreement and merchant identity

These Terms and Conditions form a binding agreement between the organization accepting them ("Customer") and Qort Inc., operating the Procuraz brand, for use of Procuraz. Qort Inc. is the merchant of record for direct Procuraz Company subscription payments unless the checkout clearly identifies another lawful merchant.

By creating an account, accepting an invitation, selecting a package or completing payment, the Customer confirms that its representative is authorized to bind the organization.

The Procuraz service

Procuraz provides hosted procurement workflow, Vendor collaboration, sourcing, quotation, purchase-order, supply, reporting, support and subscription administration features. Features and limits depend on the selected package and user permissions.

Procuraz is a workflow and record-management platform. It does not itself manufacture, inspect, sell, transport or guarantee goods supplied between a Company and a Vendor.

Accounts and authorized users

  • The Customer must provide accurate organization and account information.
  • Credentials are personal and may not be shared.
  • The Customer controls its users, roles, Vendors, approvals and uploaded content.
  • The Customer must promptly suspend departed or unauthorized users.
  • Procuraz may suspend access reasonably necessary to protect security, prevent unlawful activity or address material breach.

Packages, trials and subscription periods

Package pricing, billing cycle, trial period and limits are shown on the Pricing page and in the authenticated Subscription & Billing module. A free trial does not create an unused-value refund or credit. A paid subscription activates only after successful payment or eligible Company credit settlement.

For direct upgrades, Procuraz calculates the complete target package term, applies any eligible current-package adjustment and valid Company subscription credit, and collects the remaining payable amount. The new term begins from verified payment.

Payment, taxes and invoicing

  • Prices are stated in the displayed currency and exclude applicable taxes unless expressly stated otherwise.
  • Applicable GST or other tax is disclosed before payment.
  • A payment request is not an invoice.
  • A tax invoice is generated only after successful gateway payment or eligible Company-credit settlement.
  • The Customer authorizes Procuraz and the selected provider to process the chosen payment.
  • Duplicate, reversed, disputed or fraudulent payments may be investigated and adjusted.

Renewal, cancellation and downgrade

Renewal occurs after the Customer completes payment or valid Company-credit settlement for the next term. A pending payment request may be canceled before settlement without an invoice being created.

A direct lower-value package change may generate non-cash Company subscription credit for eligible unused value. That credit is not a cash refund, is not transferable or withdrawable, can be used only for eligible direct renewal or upgrade, and expires 365 days after issue. Seller Partner-funded periods do not create Company downgrade credit.

Customer content and procurement decisions

The Customer retains ownership of its business content. The Customer grants Procuraz the limited rights necessary to host, process, back up, transmit and display that content to authorized users. The Customer is responsible for the accuracy, lawfulness and rights associated with information, classifications, documents and instructions it submits.

HSN/SAC, tax, Vendor rating and quotation-analysis functions support decision-making but do not replace legal, tax, accounting, technical or professional review.

Acceptable use

The Customer must comply with the Acceptable Use Policy. It must not misuse the service, bypass permissions, upload malicious material, infringe rights, perform unlawful procurement or attempt unauthorized access.

Third-party services

Payment gateways, email providers, banks, hosting services and integrations are governed by their own terms. Procuraz is not responsible for a third party's independent outage, rejection, settlement delay or policy, but will provide reasonable integration support.

Availability and support

We aim to provide reliable service but do not promise uninterrupted availability. Planned maintenance, security events, internet failures, provider outages or force-majeure events may affect access. Support is available through the authenticated Support module and the contacts published on this site.

Confidentiality

Each party must protect confidential information received from the other and use it only for the agreement. This does not apply to information lawfully public, independently developed, rightfully received from another source or required to be disclosed by law.

Intellectual property

Procuraz and its licensors retain rights in the service, software, interface, documentation, trademarks and improvements. No ownership is transferred to the Customer. Feedback may be used to improve the service without disclosing Customer confidential information.

Warranties and disclaimers

Procuraz will provide the service with reasonable skill and care. Except where law does not permit exclusion, the service is otherwise provided on an "as available" basis. Procurement outcomes, Vendor performance, statutory classification, tax treatment and third-party goods or services remain the responsibility of the relevant Customer and Vendor.

Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, punitive or consequential loss, loss of profit, loss of opportunity or loss caused by the other party's systems or decisions. Procuraz's aggregate liability arising from a paid subscription is limited to fees paid directly to Procuraz for the affected service during the twelve months preceding the event, except where law requires a different result.

Suspension and termination

Either party may end the relationship as allowed by the selected package and these Terms. Procuraz may suspend or terminate for non-payment, security risk, unlawful activity, repeated abuse or material breach after appropriate notice where practicable. On termination, access may cease and data export or deletion follows the applicable retention and legal requirements.

Governing law and disputes

These Terms are governed by the laws of India. Subject to any mandatory dispute-resolution requirement, courts having jurisdiction in New Delhi, Delhi, India will have jurisdiction. The parties should first attempt good-faith resolution through Support and the published grievance process.
